Summary of the Paid Pilot Agreement for LOCI Safety Training System

I’ve designed this agreement to ensure we’re aligned on both sides during the pilot phase of our LOCI Safety Training System. Here’s what you need to know:

1. Purpose:

This pilot gives you a chance to test out LOCI in your environment while we fine-tune the experience based on your feedback.

2. Term:

The pilot runs for 90 days from when your employees receive the LOCI course, giving you three full months to evaluate the system.

3. Fees:

You’ll pay the fees as detailed in the Order Form, with payment due within 30 days after we send the invoice. This gives us flexibility to get started quickly without upfront payment, while ensuring we’re paid within a reasonable time.

4. Your Responsibilities:

Primary Contact: To make the pilot run smoothly, I ask you to appoint someone as the main point of contact.
Legal Compliance: It’s essential that you use LOCI in accordance with applicable laws and regulations. Marketing & Testimonial: We’ll use your logo to promote our work together, and I’ll need a testimonial after the pilot. It’s a way for both of us to showcase the value of the pilot.

Feedback & Support: You’ll provide feedback, and make sure your team is available for installation and support, so we can quickly resolve any issues.

5. Data & Privacy:

We take your data seriously. Data collected during the pilot and how we structure the SCORM file is described in our Data Usage and SCORM File Structure document. Your training data remains entirely within your systems—we don’t access it.

6. Termination & Refunds:

Either of us can end the pilot early with 30 days' notice. If you do end it early, no refunds will be given for any payments already made, as we’ve likely already put in significant work and effort.

LOCI retains all rights to the technology and training content, but we’re not asking for any of your intellectual property.

8. Confidentiality:

Any proprietary information shared during the pilot will be kept confidential on both sides.

9. Liability Limitations:

Neither party will be liable for indirect or consequential damages, protecting both of us from risks associated with unforeseen issues.

10. Governing Law:

This agreement follows Delaware law, providing a clear legal framework.

11. Entire Agreement:

This document contains everything we’ve agreed to—no hidden clauses—and any changes need to be agreed to in writing.

12. Support:

You can count on me and my team. We’ll respond within one business day, and you can call us for immediate support throughout the pilot.

 

Full Terms and Conditions for Paid Pilot Agreement for LOCI Safety Training System

This Agreement ("Agreement") is entered into as of the date on the associated Order Form by the Customer and the Company.

I. Purpose

The purpose of this Agreement is to set forth the terms and conditions under which the Company will deliver the services and Customer will use the services in the [attached Order Form] (the "Services") on a pilot basis.

II. Term

The term shall commence on the date this Agreement is executed and will continue for 90 days from the delivery of the LOCI course to Customer's employees, unless earlier terminated in accordance with Section VI of this Agreement.

III. Fees

Fees shall be billed in accordance with the terms outlined in the Order Form. Payment terms are net 30 days from receipt of invoice.

IV. Customer Responsibilities

Customer agrees to:
a. Designate a primary contact to interface with the Company.
b. Use the Services in compliance with all applicable laws and regulations.
c. Grant the Company a non-exclusive, worldwide, royalty-free license to use the Customer's name, logo, and trademarks solely for marketing and promotional purposes.
d. Following completion of this Agreement, the Customer agrees to provide the Company with a testimonial promoting their experience with the services.
e. Make personnel available to address any questions or roadblocks related to the installation or setup of the Services.
f. Provide feedback regarding the use and performance of the Services at intervals agreed upon with the Company.

V. Data and Privacy

Data collected and used by the Company, as well as the structure of the SCORM file for the LOCI Safety Training System, is detailed in the Data Usage and SCORM File Structure for LOCI Safety Training System document, which is incorporated herein by reference.

VI. Termination

Either party may terminate this Agreement for any reason upon 30 days' written notice to the other party. In the event of early termination by the Customer, no refunds shall be provided for any payments already made under this Agreement.

VII. Intellectual Property

The Company retains all rights, title, and interest in and to the Services, including all related intellectual property rights. This Agreement does not grant the Customer any rights to the Company's trademarks or other intellectual property.

VIII. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or confidential information disclosed by the other party during the Term and thereafter.

IX. Limitation of Liability

In no event shall either party be liable for any indirect, incidental, special, or consequential damages arising out of or related to this Agreement, even if advised of the possibility of such damages.

X. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

XI. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous oral or written agreements concerning the subject matter herein. This Agreement may only be amended by a written document signed by both parties.

XII. Support

The Company agrees to provide customer support during the Term. The Company will respond to all inquiries within 1 business day and make personnel available by phone to assist with any issues or questions.

The initial pilot will be installed by LOCI inclusive of initial pilot. Dates agreed upon payment.
